AutoBud — Terms and Conditions

Welcome to AutoBud. These Terms and Conditions (“Terms”) govern your use of the AutoBud mobile applications, websites, and related services (collectively, the “Platform”), operated by AutoBud (“AutoBud”, “we”, “us”, or “our”). By creating an account or using the Platform, you (“you” or “User”) agree to these Terms. If you do not agree, do not use the Platform.

1. What AutoBud Is

AutoBud is a technology platform that connects vehicle owners (“Customers”) with independent automotive service providers (“Mechanics”). AutoBud is not an auto repair shop, mechanic, employer of mechanics, broker, insurer, or party to any agreement between Customers and Mechanics.

All repair, maintenance, inspection, diagnostic, and related services (collectively, “Services”) are performed by Mechanics as independent third parties. The contract for Services is solely between the Customer and the Mechanic. AutoBud is not a party to that contract and does not control, supervise, direct, guarantee, warrant, or assume responsibility for any Services performed, quoted, scheduled, or arranged through the Platform.

2. Eligibility and Accounts

You must be at least 18 years old and legally able to enter contracts in your jurisdiction. You agree to provide accurate information, keep your credentials secure, and accept responsibility for all activity under your account. We may suspend or terminate accounts at our discretion.

3. Mechanics — Independent Contractors

Mechanics on the Platform are independent contractors, not employees, agents, partners, or representatives of AutoBud. AutoBud does not:

5. Quotes, Bookings, and Payments

Quotes shown on the Platform are estimates provided by Mechanics. Final pricing, scope, parts, labor, warranty, and any change orders are agreed directly between Customer and Mechanic. Unless explicitly stated otherwise in-app, AutoBud does not process payments; payment is handled directly between Customer and Mechanic. Any disputes about price, quality, completion, warranty, or refunds must be resolved directly between the Customer and the Mechanic.

6. Communications

The Platform includes in-app messaging and push notifications. You consent to receive transactional messages related to your account and bookings. You are responsible for the content of messages you send. Do not use the Platform to harass, defraud, or send unlawful content.

7. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, MECHANIC LISTINGS, QUOTES, AND OTHER INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AUTOBUD DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE FULLEST EXTENT PERMITTED BY LAW, AUTOBUD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

THIS APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, AND WHETHER OR NOT AUTOBUD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL AUTOBUD’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM EXCEED THE GREATER OF (A) THE FEES (IF ANY) YOU PAID DIRECTLY TO AUTOBUD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.

You release AutoBud (and its officers, directors, employees, contractors, and affiliates) from any and all claims, demands, damages (actual and consequential), losses, costs, and expenses of every kind and nature, known and unknown, arising out of or in any way connected with:

If you are a California resident, you waive California Civil Code §1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

10. Indemnification

You agree to defend, indemnify, and hold harmless AutoBud and its officers, directors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms or any law; (c) your interactions with, or any Services performed for or by, another User; or (d) content you submit through the Platform.

11. User Content

You retain ownership of content you submit (photos, descriptions, messages, reviews). You grant AutoBud a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that content as needed to operate the Platform. You are solely responsible for your content and confirm you have the rights to submit it.

12. Termination

You may stop using the Platform at any time. We may suspend or terminate your access at any time, with or without notice, for any reason — including suspected violation of these Terms. Sections that by their nature should survive termination (including Sections 7–10, 13, 14) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by JAMS under its applicable rules, in San Francisco, California, except that either party may bring an individual action in small-claims court. You and AutoBud each waive any right to a jury trial and to participate in a class action.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Platform. Continued use after changes take effect constitutes acceptance.
